Terms of Service

These Terms of Service ("Terms") govern access to and use of the Quant Kollective member platform at qk-prop-tools.pages.dev and any related tools, calculators, simulators, downloads, and services (together, the "Platform"), operated by Quant Kollective ("QK", "we", "us", "our").

By creating a Whop membership that grants access to the Platform, or by using the Platform in any way, you ("Member", "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.


1. What Quant Kollective Is (and Is Not)

1.1 QK provides educational and analytical software tools for traders who evaluate or hold funded accounts with third-party proprietary trading firms ("prop firms"). This includes, without limitation: a leaderboard of algorithmic trading strategies presented with NT8-verified backtested (simulated) performance; prop-firm evaluation pass-probability simulators using Monte Carlo methods against uploaded trade logs or Platform strategies; sizing and payout calculators; a portfolio simulator; and a credit-based system for downloading compiled strategy files for use in NinjaTrader 8 ("NT8").

1.2 QK does not provide investment advice, portfolio management, regulated financial advice, or any signal, alert, or trade-copying service. Nothing on the Platform is, or should be construed as, a personal recommendation to buy, sell, hold, or trade any financial instrument. QK is not authorised or regulated by the Financial Conduct Authority ("FCA") and does not hold itself out as such.

1.3 No outcome is promised. QK does not represent or guarantee that any Member will pass a prop-firm evaluation, receive a funded account, achieve any level of profit, or avoid loss, whether using Platform tools, downloaded strategies, or otherwise. All pass-probability figures, expected-value estimates, and similar outputs are model estimates derived from historical/simulated data, not predictions or guarantees. See the separate Risk Disclosure for detail.

1.4 QK is not a party to, and has no control over, your relationship with any prop firm, broker, or exchange. Your dealings with those entities are governed entirely by their own terms.


2. Eligibility and Identity

2.1 Access to the Platform is provisioned through Whop, which handles account identity, payment processing, and subscription tier management. Whop's own terms and privacy policy govern your Whop account and payment relationship; QK relies on Whop's identity verification and membership status as the source of truth for entitlement.

2.2 You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform.

2.3 You are responsible for maintaining the confidentiality of your Whop credentials and your QK license key, and for all activity that occurs under your membership.


3. Membership, Tiers, and Credits

3.1 Platform access is sold via tiered Whop memberships. Each tier defines: (a) which tools and data you can access; (b) a monthly allotment of credits; and (c) a seat limit for concurrently running downloaded strategies (see Section 5.5).

3.2 Credits are a prepaid entitlement to download a strategy file from the Platform. One credit is priced at approximately $50 USD (or the then-published equivalent), consumed at a rate of one credit per strategy download, at the rate published on the Platform at the time of download.

3.3 Credits carry over from month to month for as long as your membership remains active, subject to any cap or expiry rule published on the Platform from time to time. Credits:

  • have no cash value and are not redeemable for cash;
  • are not transferable between Members or Whop accounts;
  • are forfeited if your membership lapses and is not reinstated within any grace period published on the Platform; and
  • may be granted, adjusted, or revoked by QK at its discretion for promotional, error-correction, or anti-abuse purposes.

3.4 Non-refundable. Except where required by applicable law (including UK consumer law — see Section 11), fees paid for membership tiers and credits are non-refundable, including where a Member does not use their monthly credit allotment or downloads a strategy that does not perform as hoped in backtests, simulation, or live use.

3.5 QK may change tier composition, credit pricing, or credit-per-download rates on reasonable notice as described in Section 13. Changes do not retroactively affect credits already held, except that their future purchasing power (in terms of $-per-credit) may change.


4. Acceptable Use

You agree not to, and not to permit any third party to:

4.1 reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any compiled strategy file, DRM component, or license-check mechanism, except to the extent such restriction is prohibited by applicable law;

4.2 circumvent, disable, tamper with, or attempt to defeat any license check, phone-home validation, watermark, seat-concurrency control, or other technical protection measure embedded in Platform software;

4.3 share, resell, sublicense, redistribute, or make available to any third party any downloaded strategy file, license key, or Platform credential, whether for payment or free of charge;

4.4 use the Platform, its data, or its outputs to build a competing product or service, or to scrape, bulk-extract, or systematically copy Platform content beyond normal personal use;

4.5 upload trade logs, data, or files that you do not have the right to upload, or that contain malicious code;

4.6 misrepresent your identity, share your account, or attempt to access another Member's data or entitlements; or

4.7 use the Platform in any way that violates the terms of your prop firm, broker, exchange, or applicable law.

Breach of this Section 4 may result in suspension or termination of your membership and forfeiture of unused credits, without prejudice to any other remedy available to QK.


5. Strategy Downloads and Licensing

5.1 License grant. Where you spend a credit to download a strategy, QK grants you a personal, non-exclusive, non-transferable, revocable license to run that compiled strategy file for your own trading activity, subject to these Terms. No ownership in the strategy, its underlying logic, or its source code is transferred to you.

5.2 Single-member, non-transferable. The license is issued to you individually and tied to your Whop membership and license key. It may not be assigned, shared, or used on behalf of another person.

5.3 Watermarking and traceability. Each downloaded strategy file is compiled specifically for you and embeds identifying information (your member name, email address, and Whop license key) within the file. This is disclosed here so you understand that downloaded files are individually traceable to your account; see the Privacy Policy for how this data is handled. Do not share your downloaded files — doing so discloses your own personal information to the recipient and is, in any event, prohibited under Section 4.3.

5.4 License validation (phone-home). Each strategy performs a license check against a QK gateway service before and during execution, validating your current Whop membership status. This involves sending heartbeat telemetry (license key, session/seat registration, strategy identifier, and timestamp) to QK's servers. Strategies will not open new trades, and may not run at all, without a successful check.

5.5 Seats and concurrency. Your membership tier defines a maximum number of strategy instances you may run concurrently ("seats"). The gateway enforces this limit across your registered sessions; QK may reject or terminate sessions in excess of your seat allowance.

5.6 Revocation on lapse. If your Whop membership lapses, is cancelled, or is suspended, your license to run downloaded strategies is likewise suspended. A grace period (as published on the Platform, and subject to change) applies before enforcement; after the grace period expires, the affected strategy will stop opening new trades. QK does not force-close open positions; you remain responsible for managing any open position independently once a strategy stops taking new trades.

5.7 No warranty on strategy performance. Downloaded strategies are provided on an "as-is" basis with respect to trading performance. QK does not warrant that any strategy will replicate its backtested or historical simulated results in live trading, in any market condition, or on any account. See the Risk Disclosure in full.

5.8 QK may update, deprecate, or discontinue a strategy or its compiled build (e.g., for an NT8 platform update, a bug fix, or a licensing change). Where reasonably practicable, QK will provide notice of material discontinuation.


6. Member App Data

6.1 In connection with your use of the Platform, QK stores data associated with your Whop user ID, including: uploaded trade logs, saved simulations, watchlists, likes, download history, sizing preferences, and any custom prop-firm rule sets you create. This is described further in the Privacy Policy.

6.2 You retain ownership of data you upload (e.g., your own trade logs). You grant QK a limited license to process that data solely to provide the Platform's functionality to you (e.g., running a simulation against your uploaded log).

6.3 You are responsible for ensuring you have the right to upload any data you submit, and that it does not infringe any third party's rights or contain unlawful content.


7. Prop-Firm Compliance Is Your Responsibility

7.1 QK's tools (leaderboard metrics, pass-probability simulators, calculators, rule-set data) are provided to help you evaluate strategies and account setups. They are not a substitute for reading and complying with your prop firm's own terms and conditions.

7.2 Prop firm rules change frequently and vary by firm, account type, and jurisdiction. Rule data published on the Platform reflects QK's best effort to track and mirror published firm rules as of the date shown, and may be out of date. You must independently verify current rules directly with your prop firm before relying on them for any trading or evaluation decision.

7.3 You are solely responsible for ensuring that your trading activity, account structure (including any multiple-account or portfolio approach), and use of any strategy comply with your prop firm's rules (including rules on hedging, copy-trading, automated trading, and account scaling). QK accepts no liability for evaluation failures, account terminations, profit confiscation, or other consequences arising from a breach of a prop firm's terms, whether or not you relied on Platform tools or data in making trading decisions.


8. Intellectual Property

8.1 The Platform, including its software, design, leaderboard data methodology, calculators, and all strategy logic (whether displayed, simulated, or distributed as compiled downloads), is owned by or licensed to QK and is protected by copyright, trade secret, and other intellectual property laws. Except for the limited license in Section 5.1, no rights are granted to you.

8.2 You may not use QK's name, logos, or branding without prior written permission, except as reasonably necessary to describe your use of the Platform.


9. Disclaimers

9.1 THE PLATFORM AND ALL TOOLS, CALCULATORS, SIMULATIONS, LEADERBOARD DATA, AND DOWNLOADED STRATEGIES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS OR AS CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

9.2 QK does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any simulation, backtest, or pass-probability estimate will correspond to real-world or live trading results.

9.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.


10. Limitation of Liability

10.1 To the maximum extent permitted by applicable law, QK's total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to QK (via Whop) in the twelve (12) months immediately preceding the event giving rise to the claim.

10.2 QK shall not be liable for: (a) any trading losses, missed profits, or account termination arising from your trading activity or your prop firm relationship; (b) indirect, special, incidental, or consequential damages; or (c) loss of data, business, or goodwill, even if advised of the possibility of such loss.

10.3 Section 10.1 does not limit liability that cannot be excluded under Section 9.3, or your statutory rights under Section 11.


11. Your Consumer Rights (UK)

11.1 If you are a consumer contracting from the UK, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, including rights relating to digital content that is not of satisfactory quality, fit for purpose, or as described.

11.2 Where the Consumer Rights Act 2015 gives you a right to a repair, replacement, price reduction, or refund in respect of digital content (including credits or downloaded strategies) that is faulty as supplied, that right applies in addition to, and is not limited by, Section 3.4's general non-refundable policy.

11.3 Nothing in these Terms limits your right to cancel a Whop subscription in accordance with Whop's own terms and any statutory cancellation rights that apply to your purchase.


12. Suspension and Termination

12.1 QK may suspend or terminate your access to the Platform, immediately and without notice, if you breach these Terms (particularly Section 4), if your Whop membership lapses, or if QK reasonably suspects fraud, abuse, or a security risk.

12.2 You may stop using the Platform at any time by cancelling your Whop membership in accordance with Whop's terms. Termination does not entitle you to a refund of fees already paid except as required by Section 11.

12.3 Sections 5.7 (no warranty), 6 (data), 8 (IP), 9 (disclaimers), 10 (liability), and 15 (governing law) survive termination.


13. Changes to These Terms

13.1 QK may update these Terms from time to time to reflect changes in the Platform, legal requirements, or business practice. Material changes will be notified via the Platform, Discord, or email (as applicable) with reasonable notice before they take effect.

13.2 Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, you should stop using the Platform and cancel your membership before the change takes effect.


14. General

14.1 Entire agreement. These Terms, together with the Privacy Policy and Risk Disclosure (each incorporated by reference), and Whop's own terms governing your subscription, constitute the entire agreement between you and QK regarding the Platform.

14.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.

14.3 No waiver. A failure by QK to enforce any provision is not a waiver of that provision.

14.4 Assignment. QK may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your membership or rights under these Terms.


15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms, save that if you are a consumer resident elsewhere in the UK or EU, mandatory local consumer-protection law may also give you the right to bring proceedings in your own country of residence.
